ATCO is looking for a mid-level Legal Counsel ideally with experience in M&A / Corporate Advisory within the renewable energy sector based in our Castlereagh Street, Sydney office. The position will support strategic growth projects, with the possibility of becoming permanent subject to business requirements. The successful Legal Counsel will be responsible for providing legal support to the ATCO Australian business and will sit within the existing Corporate Services & Legal team.

Reporting to the Senior Legal, you will be joining an established in-house legal team which is highly regarded by the business, under the leadership of an experienced General Counsel and senior legal team, in a flexible and friendly working environment.

What you will contribute to:

This role will encompass the complete lifestyle of projects, from due diligence investigations to acquisition and post completion integration, in which you will be trusted with a significant degree of responsibility. This role will include daily tasks such as:

  • Assisting with corporate transactional and commercial matters, including advising on confidentiality agreements, term sheets, MOUs, conducting due diligence investigations, preparing non-binding indicative offers, transaction legal risk, the provision of structuring advice, drafting and negotiating transaction documents, closing transactions, post-acquisition integration, project financing and ancillary commercial and operational contracts.

  • Collaborating with project and business development teams to deliver high quality, legally sound recommendations and support strategic decision making.

  • Preparing, reviewing and negotiating commercial contracts with reference to ATCO’s methods of business, contractual relations and regulatory/legislative requirements.

  • Providing legal advice to ATCO’s Australian entities on a broad range of issues including general commercial, corporate, procurement, gas and energy legislation.

  • Ensuring that appropriate risk analysis is conducted, and any identified risks are managed, monitored and addressed.

Exposure & Experience:

  • 4 years+ post qualification experience either in private practice or in-house

  • University degree qualification in Law coupled with admission or eligibility for immediate admission to practice in NSW – must hold or be entitled to hold an unrestricted practising certificate in NSW.

  • Demonstrated legal experience in drafting and negotiating transaction documents for the acquisition or joint development of early-stage renewable energy projects would be highly desired.

  • Strong communication and stakeholder engagement skills, with the ability to work collaboratively and provide credible legal input.

  • Experience in the energy sector and working in a commercial setting would be advantageous.
