As a direct consequence, an opportunity has arisen for a skilled Legal Counsel to offer expert guidance and invaluable advice to the Executive Leadership Team and the wider business as they seek to traverse the challenges often faced by a rapidly scaling organisation.

In this pivotal role, the successful candidate will enjoy a highly varied and commercially focused legal position which encompasses areas of commercial and contract law, governance, regulatory compliance, intellectual property, international expansion along with many other facets of legal responsibility. The Role

As Legal Counsel, the successful candidate will form part of a significant team dedicated to fostering innovation and growth in an outstanding business. They will have an autonomous and varied position in which they will ensure sound and effective frameworks are in place concerning commercial partnerships, contracts management, legal governance, compliance, intellectual property and risk management.

Key focus areas include:

Commercial & Corporate

  • Lead, advise and assist with corporate transactions, including capital raises and potential public listings.
  • Support corporate governance, including board resolutions and company secretarial duties.
  • Provide legal advice on equity matters, working closely with HR and Finance to manage employee equity and incentive programs.

Product & Commercial

  • Work with Product teams to ensure legal considerations are embedded throughout the product lifecycle-from ideation to launch.
  • Draft, negotiate, and review a wide range of commercial agreements, including vendor, SaaS, partnership, and licensing contracts
  • Prepare and update terms of service, user agreements, and related policies in coordination with Product and Marketing.

Payments & Regulatory

  • Monitor developments in fintech and payments legislation to ensure new products meet evolving regulatory standards.
  • Advise on payments law and financial services regulations, including AML/CTF and card scheme compliance.
  • Collaborate with external counsel on cross-border and jurisdiction-specific regulatory matters as needed.

Risk Management & Compliance

  • Identify, assess, and mitigate legal risks across operations and strategic initiatives on an ongoing basis and provide regular updates to the leadership group.
  • Conduct legal research, maintain up-to-date templates, and deliver training to internal teams.
  • Work in close alignment with the Compliance function to ensure robust integration of legal and regulatory controls.
  • Develop and maintain legal policies, procedures, and internal frameworks aligned with regulatory requirements and industry best practices.

IP, Privacy & Brand Protection

  • Manage the company's IP portfolio, advising on trademarks, domain names, copyright, and brand protection strategies.
  • Provide legal guidance on intellectual property, privacy, consumer protection, and marketing matters across business initiatives.

Cross-Functional Collaboration

  • Serve as a legal partner to Finance, Operations, Marketing, and executive leadership, offering pragmatic and business-focused legal advice.
  • Support strategic partnerships, major commercial deals, and key vendor negotiations.

Your Profile

The successful candidate will be a Legal Counsel with proven expertise in corporate and commercial law, ideally attained within a varied, in-house capacity. A qualified, practicing lawyer with commercially focused legal experience, they will be comfortable in a lean environment in which their role will be far from siloed and directly aligned with the growth and success of the wider business.

Comfortable with a hands-on role in a small team, they will be a high-energy individual who is best suited to an entrepreneurial, fast-paced and high-growth environment, in which the legal team acts as an enabler to foster greater and ongoing commercial success for the business. As such, it will particularly suit an individual with a commercially focused mindset.

  • Comfort within a rapidly scaling, fast-paced environment and ability to maintain a big-picture perspective.
  • Exceptional communication skills and the ability to skillfully manage relationships with both technical and non-technical stakeholders inside and outside the organisation.
  • A hands-on style and a comfort to thrive in a non-hierarchical, flat structure.
  • The ability to balance legal compliance and commercial outcomes, acting as a commercial partner to the business and fostering growth.
  • The ability to Confidently present key findings to a broad audience, including senior leadership, in both formal and ad hoc settings, and provide ongoing legal guidance and mentorship.
  • A down to earth style and the ability to communicate complex legal findings to non-legal audience.
  • A team focus and the capacity to become part of a collaborative team culture, where individuals are encouraged to contribute, and ideas are shared freely.
