The role: We are seeking a highly skilled and dedicated individual to join our team as a Board Secretary on a part-time basis. This role is pivotal in ensuring our compliance with statutory obligations and supporting our Board of Directors in various legal and administrative matters. The role will be paid at an hourly rate and report to the Board of Directors.

Key Responsibilities : As the Board Secretary, you will be responsible for performing duties and responsibilities as mandated by the Corporations Act and the Company’s Constitution. Your key responsibilities will include:

Board Secretarial Duties:

  • Maintain accurate statutory records, registers and manage governance decision making records, declarations and retention.
  • Execute Board decisions with precision and ensure effective communication to stakeholders.
  • Facilitate seamless Board meetings, including agenda setting, resolution drafting, and minute-taking.
  • Support corporate governance initiatives and ensure adherence to company policies and procedures.
  • Offer legal and administrative support and guidance on governance policies.
  • Work outside of normal business hours may be required.
  • Complete additional training for accreditation as needed.
  • Perform other duties as reasonably required by the Board of Directors from time to time.

Requirements:

  • Previous experience required in a Board/Company Secretarial role.
  • High level of accountability, efficiency and productivity
  • Understanding of Islamic ethos
  • Strong organisational and administrative skills.
  • Excellent communication and interpersonal skills.
  • Ability to provide sound legal and administrative advice to Directors.
  • High level of integrity and professionalism.
  • Experience in managing corporate governance issues.
  • Qualification in Governance, Risk or Compliance.
